1. Acceptance of Terms
By accessing or using Nivasy's society management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Nivasy provides a comprehensive society management platform that includes:
- Visitor management and access control
- Maintenance payment processing
- Complaint and service request management
- Community announcements and communication tools
- Document management and storage
- Event calendar and bookings
- Staff attendance tracking
- Society directory and contact management
3. User Accounts
3.1 Account Creation
To use our Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.
3.3 Account Types
- Resident: Flat owners and tenants with basic access
- Management Committee: Enhanced administrative privileges
- Staff: Limited access for security personnel and service providers
4. User Responsibilities
You agree to:
- Use the Service only for lawful purposes and in accordance with these Terms
- Not use the Service in any way that violates applicable laws or regulations
- Not impersonate or attempt to impersonate another user or person
- Not engage in any conduct that restricts or inhibits anyone's use of the Service
- Not introduce viruses, trojans, or other malicious code
- Not attempt to gain unauthorized access to the Service or related systems
- Respect the privacy and personal information of other users
- Not harass, abuse, or harm other users
5. Payment Terms
5.1 Subscription Fees
Access to certain features may require payment of subscription fees. Fees are charged in advance on a recurring basis (monthly, quarterly, or annually) as selected by your society management.
5.2 Maintenance Payments
The Service facilitates collection of society maintenance fees. Payment processing is handled through secure third-party payment gateways. Transaction fees may apply.
5.3 Non-Payment
Failure to pay applicable fees may result in suspension or termination of access to the Service. Your society's management committee determines maintenance payment policies.
6. Content and Data
6.1 User Content
You retain ownership of any content you submit through the Service. By submitting content, you grant us a license to use, store, and display such content as necessary to provide the Service.
6.2 Prohibited Content
You may not post or transmit content that:
- Is illegal, harmful, threatening, abusive, or defamatory
- Infringes on intellectual property rights
- Contains malware or harmful code
- Is spam or unsolicited promotional material
- Violates privacy rights of others
6.3 Data Backup
While we maintain regular backups, you are responsible for maintaining your own backup copies of important data.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Nivasy and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our explicit permission.
8. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. We are committed to protecting your data in compliance with applicable data protection laws.
9. Service Availability
We strive to maintain high service availability but do not guarantee that the Service will be uninterrupted or error-free. We may suspend or terminate the Service for maintenance, updates, or unforeseen circumstances. We are not liable for any interruption or loss of service.
10. Limitation of Liability
To the maximum extent permitted by law, Nivasy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your access to or use of (or inability to access or use) the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
11. Indemnification
You agree to defend, indemnify, and hold harmless Nivasy and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Service or violation of these Terms.
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may contact your society's management committee or our support team.
13. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the laws of India.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Mumbai, India.
15. Changes to Terms
We reserve the right to modify or replace these Terms at any time. Material changes will be notified at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
